(DRAFT) 3D Scanning Service Agreement (Commercial Use)

This agreement is made between:
FormForge Studios (“The Service Provider”)
and
Client: __________________________

1. Purpose
The Client has engaged FormForge Studios to professionally 3D scan and prepare one or more physical sculptures into digital files for the Client’s own commercial use.
2. Ownership
The Client confirms they are the owner or have the legal rights to the sculptures provided for scanning.
The Client retains all intellectual property rights to their original sculptures.
3. Services Provided
FormForge Studios will:
  • Professionally 3D scan the supplied sculpture(s).
  • Clean and repair scan data where required.
  • Prepare production-ready digital files.
  • Provide the agreed digital file format(s) (such as STL or OBJ).
The level of clean-up and detail will be agreed before work begins.
4. Commercial Rights
Upon full payment, the Client receives full commercial rights to use, reproduce, manufacture and sell products created from the supplied digital files.
FormForge Studios claims no ownership over the Client’s sculpture or the resulting digital files once payment has been received.
5. Payment
The Client agrees to pay the quoted price for the scanning services.
Payment terms:

☐ 50% deposit with the balance due before delivery of the files.
Digital files will be supplied after full payment has been received.
6. Delivery
Completed files will be supplied electronically in the agreed format.

7. Original Sculptures
The Client is responsible for shipping the original sculptures to FormForge Studios.
Original sculptures will be returned after scanning unless otherwise agreed.
Total care will be taken while handling all items.
8. Confidentiality
FormForge Studios will not copy, sell, distribute or otherwise use the Client’s digital files or sculptures without the Client’s written permission.
9. Limitation of Liability
While every reasonable effort will be made to safely handle and scan the supplied sculptures, FormForge Studios is not responsible for damage resulting from pre-existing weaknesses, shipping, or circumstances beyond its reasonable control.
10. Entire Agreement
This document represents the complete agreement between both parties unless amended in writing.
